END-USER LICENSE AGREEMENT FOR THE INSTALLATION AND USE OF K-Vision SOFTWARE, including the K-Vision Development Software ("K-Vision.exe" plus all associated DLLs) and K-Vision Run-Time Software ("Kvrun.exe" plus all associated DLLs):
IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (the licensee(s) of the software) and The GINESYS Corporation ("GINESYS") for the GINESYS software accompanying this EULA, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT" or "SOFTWARE"). By exercising your rights to make and use copies of the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not use the SOFTWARE PRODUCT for other than temporary evaluation purposes or for strictly educational purposes sponsored by publicly recognized educational institutions.
SOFTWARE PRODUCT LICENSE
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.
1. GRANT OF LICENSE. This EULA grants you the following rights:
Installation and Use. You may install and use this SOFTWARE PRODUCT in compliance with the restrictions of the license you have purchased as listed below:
For the Educational License: Use of the K-Vision programs and documentation, as provided via download from the http://www.ginesys.com/ web site, are provided free of charge without license fee if they are used for educational purposes only and in the context of classroom instruction (or homework for such instruction).
For the Individual (single user) License: This license entitles the licensee to the use of the K-Vision programs and documentation, as provided via download from the http://www.ginesys.com/ web site, for private or commercial purposes to be run on any computer owned or commonly operated by the licensee or any relative of the licensee.
For the Commercial Site License: This license entitles the licensee (to include the employees and contract workers of the licensee’s company) to the use of the K-Vision programs and documentation, as provided via download from the http://www.ginesys.com/ web site, for any private or commercial purposes to be run on any computer commonly operated at a single particular geographical site or campus less than one square mile in area. This license also authorizes the use of the software by any such people who work or live at that single particular geographical site on their computers at home or anywhere they might travel.
For the Corporate-Wide License: This license entitles the licensee (to include the employees and contract workers of the licensee’s company) to the use of the K-Vision programs and documentation, as provided via download from the http://www.ginesys.com/ web site, for any private or commercial purposes to be run on any computer in the world that is owned or commonly operated by the licensee’s employees or contract workers.
Reproduction and Distribution. You may not reproduce or distribute any copies of the SOFTWARE PRODUCT, except for backup and archive purposes, without specific authorization to do so by GINESYS, except to fulfill the terms of your license agreement.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT.
Software Transfer. You may not transfer this SOFTWARE PRODUCT to anyone without written permission from GINESYS. This permission will not be unreasonably withheld.
Termination. Without prejudice to any other rights, GINESYS may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In the event of such termination, no reimbursement of monies or other compensation previously paid by the licensee will be refunded by GINESYS or its suppliers or its distributors. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.
3. COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and inference engine incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by GINESYS, its suppliers or marketing and sales agents. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material.
4. LIMITED WARRANTY
NO WARRANTIES. GINESYS expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT and any related documentation is provided "as is" without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the SOFTWARE PRODUCT remains with you.
NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall GINESYS or its suppliers or its distributors be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this GINESYS product, even if GINESYS has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
5. MISCELLANEOUS
If you acquired this product in the United States, this EULA is governed by the laws of the State of South Carolina.
If this product was acquired outside the United States, then local laws may apply.
